All prices shown are exclusive of VAT, which will be charged at the current standard.

When you receive a quote from Throne UK, the prices shown are available for 12 months, after which a new quote will be required before goods can be ordered.
VAT and Exemptions

All our prices are displayed excluding VAT.

Only certain Products and Services are eligible for VAT Exemption in accordance with the rules laid out by HM Revenues & Customs. To be eligible for VAT Exemptions, the government says you have to fit the following criteria:

Eligible Individuals: A person is 'chronically sick or disabled' if he/she is a person:
- with a physical or mental impairment which has a long-term and substantial adverse effect upon his/her ability to carry out everyday activities; or
- with a condition which the medical profession treats as a chronic sickness, such as diabetes; or
- who is terminally ill. -
Eligible Charities: Where the goods are made available by the charity to a disabled person for their personal or domestic use - please provide your charity number.

Important Note:
It does NOT include a frail elderly person who is otherwise able-bodied, or any person who is only temporarily disabled or incapacitated, such as with a broken limb. -
Please Note: It is an offence to claim VAT Exemption if you are not entitled to it, and the Penalties for false claims are severe. Upon request from the HM Revenues & Customs we will disclose all details of claimed Exemptions.

If you are a VAT Registered Company you are not entitled to Claim VAT Relief, and orders placed and claiming Exemption will be asked to pay the outstanding VAT or have the order cancelled.
Delivery

Throne UK shall ensure that each delivery of the Goods is accompanied by a delivery note, which shows the date of the Order, all relevant reference numbers, the type and quantity of the Goods (including the code number of the Goods, where applicable), and special storage instructions (if any).

Any dates quoted for delivery of the Goods are approximate only, and the time of delivery is not of the essence. Throne UK shall not be liable for any delay in delivery of the Goods that is caused by a Force Majeure Event or the Customer’s failure to provide Throne UK with adequate delivery instructions or any other instructions that are relevant to the supply of the Goods.

We reserve the right to charge at cost for redelivery, if the original delivery has failed for reasons deemed to be the fault of the customer. These include, but are not limited to, the customer supplying an incorrect delivery address, or no one being present to take the goods when a delivery date has been advised.
Returns

We realise that in some circumstances you may wish to return a product. In the event of the buyer wishing to return goods, the buyer must contact the office giving the reason for the return, and obtain a Returns Authorisation number. Which must accompany the returned goods. No returns will be credited without an Authorisation number.

The Products must be returned as new and, where practicable, in the original packaging. We will refund the price of the Product in full but you will be responsible for the cost of returning and insuring the item(s) to us, and if you return it at our expense we are entitled to charge you such expense, which shall be a maximum of the charge payable by us to our courier.

Any Custom-made goods or any goods made specifically to your requirements are non-returnable. If you are in any doubt then please contact us and we will advise you.

Products procured specifically on your behalf at your request are exempt from returns

To organise a return you must first get authorisation from the Throne UK office. To do this, please send written confirmation (via email or post) with your order ID contained, stating that you wish to return your item(s). We will then advise you further on the best method of return, and if any costs or fees for returns apply.

Payments

Payment is due and owing 30 days from date of invoice otherwise payment with order is required.

Invoice queries (other than defect claims, damage or shortage claims and non-delivery claims will only be considered if they are received by us within 10 working days of an invoice date.

Payment by cheque. Cheques should be made payable to KW Therapy Solutions Ltd and posted to: Room 4, N1 Chorley Business & Technology Centre, East Terrace, Chorley, Lancashire PR7 6TE

We accept card payments from Visa, MasterCard and Visa Debit. Payment will be debited at time of ordering.

We do not collect or retain your Debit / Credit Card details.

Payment by BACS. Our BACS details are displayed on the bottom of the invoice.

Interest at 2% per month will be charged on all accounts which are overdue and interest will run from the invoice date once default in payments occurred. We reserve the right, in our absolute discretion, to wave interest due in terms of this sub-clause in such circumstances as we deem fit.

In the event of an invoice remaining unpaid at the end of the second month following invoice date, it will automatically be passed to our lawyers for legal recovery action without further notice. Lawyers and Court costs incurred will be recoverable in addition to the debt itself and the interest thereon.
Risk and Property

Risk of damage to or loss of the goods shall pass to the buyer at the time of delivery to the Buyer’s premises, or, if the buyer wrongfully fails to take delivery of the goods, the time when we have tendered delivery of the goods.

Notwithstanding delivery and the passing of risk in the goods, or any other provision of these Terms. The property or title of the goods shall not pass to the buyer until we have received in cash or cleared funds payments in full of the price of the goods and all other goods agreed to be sold by us to the buyer for which payments is then due.

Until such time as property in the goods passes to the buyer (and provided the goods are still in existence and have not been resold), we shall be entitled at any time to require the buyer to deliver up the goods to one of our authorised representatives and, if the buyer fails to do so forthwith, to enter upon any premises of the buyer or third party where the goods are stored and repossess the goods.

The buyer shall not be entitled to pledge or in any way change by way of security for any indebtedness any of the goods are stored which remain the property of ‘KW Therapy Solutions Ltd, but if the buyer does so, all monies owing to us by the buyer shall (without prejudice to any other right of remedy we have) forthwith become due and payable.
Warranties and Liability

Subject to the conditions set out below, we warrant that the goods will correspond with the specification at the time of delivery and will be free from defects in material and workmanship,

All Products supplied by KW Therapy Solutions Ltd come with a 12-month warranty
The above warranty is given subject to the following conditions:

We shall be under no liability in respect of any defect arising from wear and tear, wilful damage, negligence, abnormal working conditions, failure to follow our instructions (whether oral or in writing), misuse or alteration or repair of the goods without our approval.

We shall be under no liability under the above warranty (or any other warrant, condition or guarantee) if the total price for the goods has not been paid by the due Date for payment.

Any claim by the buyer which is based on any defect in the quality or condition of the goods or their failure to correspond with specification shall be notified to us within seven days from the date of delivery, If delivery is not refused and the buyer does not notify us accordingly, the buyer shall not be entitled to reject the goods and we shall have no liability for such defect or failure. The buyer shall be bound to pay the price as if the goods had been delivered in accordance with the contract.

Expect in respect of death or personal injury caused by our negligence, we shall not be liable to the buyer by reason of any representation or implied warranty, condition or other term, or any duty at common law, or under the express terms of the contract, for any consequential loss or damage, costs, expenses or other claims for consequential compensation whatsoever and whether caused by the negligence of ‘KW Therapy Solutions Ltd, our employees, agents or otherwise, which arise out of or in connection with the supply of goods or their use or resale by the buyer, expect as expressly provided in these conditions.

We shall not be liable to the buyer or be deemed to be in breach of the contract by reason of any delay in performing, or any failure to perform, any of our obligations in relation to the goods, if the delay or failure was due to any cause beyond our reasonable control.

If you intend to install a Product you have purchased from us through a plumber or other installer and, prior to the installation, you are aware of a defect, or your plumber or installer should reasonably be expected to discover and therefore become aware of any such defect upon inspection, then if the planned installation proceeds we will not be responsible for any costs of reinstallation incurred by you or your plumber or other installer, which you may subsequently claim to have been necessary as a result of the defect.
Insolvency of the Buyer
This cause applies if:

The buyer makes any voluntary arrangement with its creditors or becomes subject to an administration or sequestration order or becomes bankrupt or goes into liquidation or an encumbrancer takes possession or a receiver is appointed, of any of the property or assets of the buyer.
The buyer ceases, or threatens to cease, to carry on business. -
We reasonably apprehend that any of the events mentioned above is about to occur in relation to the buyer and notify the KW Therapy Solutions Ltd T/A Throne UK accordingly.

If this clause applies, then without prejudice to any other right or remedy available to us, we shall be entitled to cancel or suspend any further deliveries without any liability to the buyer, and if the goods have been delivered but not paid for, the price shall become immediately due and payable notwithstanding any previous agreement or arrangement to the contrary.
Intellectual Property Rights

All Intellectual Property Rights in or arising out of or in connection with the Goods and/or Services shall be owned by KW Therapy Solutions Ltd T/A Throne UK.

The Customer acknowledges that, in respect of any third party Intellectual Property Rights in the Services, the Customer’s use of any such Intellectual Property Rights is conditional on Throne UK obtaining a written licence from the relevant licensor on such terms as will entitle Throne UK to license such rights to the Customer.
Confidentiality

A party (“receiving party”) shall keep in strict confidence all technical or commercial know-how, specifications, inventions, processes or initiatives which are of a confidential nature and have been disclosed to the receiving party by the other party (“disclosing party”), its employees, agents or subcontractors, and any other confidential information concerning the disclosing party’s business, its products and services which the receiving party may obtain. The receiving party shall only disclose such confidential information to those of its employees, agents and subcontractors who need to know it for the purpose of discharging the receiving party’s obligations under the Contract, and shall ensure that such employees, agents and subcontractors comply with the obligations set out in this clause as though they were a party to the Contract. The receiving party may also disclose such of the disclosing party’s confidential information as is required to be disclosed by law, any governmental or regulatory authority or by a court of competent jurisdiction. This clause shall survive termination of the Contract.

In entering into a Contract, you consent to KW Therapy Solutions Ltd T/A Throne UK processing information about you, by which you can be identified, in order to provide services to you. You can be assured that this data will only be used in accordance with this privacy statement.

We reserve the right to amend these Terms of trading without notice and it is an express condition of trading that the latest version of these Terms shall apply to each transaction.
